Terms of Service

These Terms of Service ("Terms") govern your use of the WellOp website and member portal at wellop.ai (the "Service"), operated by WellOp ("WellOp", "we", "us"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy and Health Disclaimer, which are incorporated by reference.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for users in the United States.

2. The Service

WellOp lets you upload health and wellness data and receive personalized wellness optimization guidance covering exercise, nutrition, sleep and supplementation. The Service is not medical care, does not provide medical advice, and is not a substitute for a licensed healthcare provider. Plans are generated in whole or in part by artificial intelligence and may contain inaccuracies. You are solely responsible for decisions you make based on the Service, and you agree to consult your physician before acting on any guidance.

3. Your account

You are responsible for keeping your login credentials confidential and for all activity under your account. Provide accurate information and keep it current. Notify us at hello@wellop.ai of any unauthorized use.

4. Subscriptions, billing and cancellation

• The Service is offered as a recurring monthly subscription at the price shown at checkout. Payments are processed by Stripe; we do not store your card details.
• Your subscription renews automatically each month until you cancel. You may cancel at any time from the Billing page of your portal; cancellation takes effect at the end of the current billing period and you retain access until then.
• Except where required by law, payments are non-refundable. If you believe you were charged in error, contact us within 30 days.
• We may change prices with at least 30 days' notice by email; continued use after the change takes effect constitutes acceptance.

5. Your data and license to us

You retain ownership of everything you upload ("Your Data"). You grant us a limited, non-exclusive license to store, process and analyze Your Data (including by transmitting it to third-party AI providers under confidentiality obligations) solely to provide the Service to you. You represent that you have the right to upload Your Data and that it does not include another person's health information without their consent. You can delete uploads or your entire account at any time.

6. Acceptable use

You agree not to: use the Service for anyone under 18; upload malicious code; attempt to access other users' data; reverse engineer the Service; resell or redistribute plans; or use the Service in violation of any law.

7. Intellectual property

The Service, including its software, design, coaching framework and all Content we generate (excluding Your Data), is owned by WellOp or its licensors. Plans generated for you are licensed to you for your personal, non-commercial use.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY PLAN WILL PRODUCE ANY PARTICULAR RESULT OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WELLOP AND ITS OWNERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, AND OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow these limitations, so they may not apply to you.

10. Indemnification

You agree to indemnify and hold WellOp harmless from claims arising out of Your Data, your use of the Service, or your breach of these Terms.

11. Termination

You may close your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service, in which case we will refund any prepaid fees for the unused portion of your subscription.

12. Governing law and disputes

These Terms are governed by the laws of the State of TEXAS, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in TEXAS, and you consent to their jurisdiction. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at hello@wellop.ai.

13. Changes to these Terms

We may update these Terms from time to time. We will post the new version here with an updated date and, for material changes, notify you by email. Continued use after the effective date constitutes acceptance.
